Yield Feature — Supplemental Terms and Conditions

These Supplemental Terms form part of the Wayex Global Terms and Conditions of Service.
1. Introduction and Scope
These Yield Feature Supplemental Terms and Conditions ("Yield Terms") govern your participation in the Wayex Yield feature ("Yield Feature") offered by Wayex Global S.A. ("Wayex", "we", "our", or "us"), a corporation registered in the Republic of Panama.
These Yield Terms supplement and are incorporated into the Wayex Global Terms and Conditions of Service ("Main Terms"). In the event of any conflict between these Yield Terms and the Main Terms, these Yield Terms shall prevail with respect to the Yield Feature specifically. All defined terms used but not defined herein have the meanings given to them in the Main Terms.
BY OPTING INTO THE YIELD FEATURE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE YIELD TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, YOU MUST NOT OPT IN OR MUST IMMEDIATELY OPT OUT OF THE YIELD FEATURE.
2. Eligibility and Geographic Restrictions
The Yield Feature is not universally available and is subject to the following conditions:
2.1 Wayex's Sole Discretion on Availability
Wayex reserves the absolute and unfettered right, at its sole discretion and without prior notice or liability to you, to:
determine which countries, regions, or jurisdictions are eligible for the Yield Feature;
add or remove any country, region, or jurisdiction from the list of eligible territories at any time;
restrict access to the Yield Feature based on nationality, country of residence, country of domicile, tax residency, IP address, or any other criteria Wayex deems appropriate;
suspend or terminate the availability of the Yield Feature in any jurisdiction without prior notice.
The current list of eligible jurisdictions, if published, is provided for informational purposes only and is subject to change at any time without notice. You are solely responsible for determining whether your participation is lawful in your jurisdiction.
2.2 User Eligibility
To be eligible for the Yield Feature, you must:
hold an active, fully verified Wayex Global account in good standing;
reside in, or be a citizen or tax resident of, a jurisdiction in which the Yield Feature is currently available as determined by Wayex;
satisfy any additional KYC, AML, or eligibility requirements that Wayex may impose from time to time;
not be subject to any account restriction, suspension, or compliance hold.
Wayex reserves the right to re-evaluate your eligibility at any time and to revoke access to the Yield Feature if you no longer satisfy the eligibility criteria for any reason that Wayex deems necessary.
3. Nature of the Yield Feature — No Guarantee of Return
THE YIELD FEATURE IS NOT AN INVESTMENT PRODUCT, SAVINGS PRODUCT, DEPOSIT ACCOUNT, OR FINANCIAL SERVICE REGULATED AS SUCH IN ANY JURISDICTION. WAYEX IS NOT A BANK, DEPOSIT-TAKING INSTITUTION, FINANCIAL ADVISER, OR INVESTMENT MANAGER. PARTICIPATION IN THE YIELD FEATURE DOES NOT CONSTITUTE A DEPOSIT, LOAN, OR INVESTMENT CONTRACT WITH WAYEX.
Wayex provides the Yield Feature as a discretionary incentive programme. Any yield credited to your account is entirely at Wayex's discretion and does not represent interest, dividend, or guaranteed return of any kind.
4. Yield Rate, Calculation, and Payment
4.1 Applicable Yield Rate
The Yield Feature offers a yield of up to four per cent (4%) per annum on your eligible USD balance. This rate:
is a maximum indicative rate and not a guaranteed or fixed rate;
may be lower than 4% per annum at any given time;
may be set at zero (0%) or such other rate as Wayex determines at its absolute discretion;
is subject to change at any time without prior notice.
Wayex makes no representation, warranty, or commitment that any specific yield rate will be maintained for any period of time.
4.2 Calculation Methodology
Yield is calculated based on your average USD balance during each calendar month. The following methodology applies:
Your USD balance will be sampled at one or more times during the calendar month. The sampling time(s) are determined by Wayex at random or by any method Wayex selects at its sole discretion, and will not be disclosed in advance.
Wayex reserves the right to change the sampling methodology, frequency, timing, and calculation basis at any time without notice.
The yield accrued for a given month, if any, will be calculated by applying the applicable yield rate (expressed as an annual percentage rate, prorated for the relevant period) to your eligible average balance as determined by the sampling methodology.
Minimum balance thresholds or maximum balance caps may be applied at Wayex's discretion.
The calculation methodology described above is a general outline only. Wayex reserves the right to modify any aspect of the calculation methodology, including the sampling method, timing, eligible balance definition, proration method, or any other variable, at any time without notice.
4.3 Payment of Yield
Where yield is credited, Wayex will endeavour to credit any yield amount to your Wayex account within a reasonable timeframe following the start of the relevant calendar month for the month prior. Wayex reserves the right to:
delay, withhold, or cancel any yield payment at its sole discretion;
set off any yield amount against any amounts owed by you to Wayex;
decline to credit yield to accounts under investigation or compliance review;
claw back or reverse yield payments previously credited if Wayex determines, in its sole discretion, that they were made in error or in circumstances that do not satisfy these Yield Terms.
5. Wayex's Absolute Right to Modify, Suspend, or Discontinue the Yield Feature
WAYEX RESERVES THE ABSOLUTE RIGHT, AT ANY TIME, WITHOUT PRIOR NOTICE, AND WITHOUT LIABILITY OF ANY KIND TO YOU, TO:
modify, reduce, or increase the yield rate applicable to your account or all accounts generally, including setting the rate to zero (0%);
suspend the Yield Feature entirely or for specific users, jurisdictions, or account types;
discontinue the Yield Feature permanently;
change the eligibility criteria, calculation methodology, payment schedule, or any other term of the Yield Feature;
impose or remove minimum or maximum balance thresholds;
exclude specific categories of users from the Yield Feature;
temporarily or permanently cease crediting yield for any reason Wayex deems appropriate, including but not limited to regulatory requirements, changes in market conditions, liquidity considerations, technology issues, or operational decisions.
Any such changes take effect immediately upon implementation by Wayex. Your continued participation in the Yield Feature following any such change constitutes your acceptance of the modified terms. If you do not wish to continue under the modified terms, your sole remedy is to opt out of the Yield Feature.
Wayex shall not be liable to you or any third party for any loss, damage, cost, or expense arising from or in connection with any modification, suspension, or discontinuation of the Yield Feature or any change to the yield rate.
6. User Opt-In, Acknowledgement, and Assumption of Risk
6.1 Voluntary Opt-In
Participation in the Yield Feature is entirely voluntary. By opting in, you expressly acknowledge and agree that:
you have independently evaluated and understand the nature of the Yield Feature;
you are not relying on any representation, statement, or projection made by Wayex regarding future yield rates or the continuity of the Yield Feature;
you accept full responsibility for your decision to participate in the Yield Feature;
you have obtained, or have had the opportunity to obtain, independent legal, financial, and tax advice regarding your participation;
participation in the Yield Feature may have tax implications in your jurisdiction and you are solely responsible for all applicable taxes arising from any yield received.
6.2 Risk Acknowledgement
By opting into the Yield Feature, you acknowledge and accept the following risks:
The yield rate may be reduced to zero at any time without notice, meaning you may receive no yield despite having opted in.
The Yield Feature may be suspended or discontinued at any time without notice.
There is no guarantee of any return on your balance.
The Yield Feature is not covered by any deposit insurance, guarantee scheme, or investor compensation scheme in any jurisdiction.
Regulatory changes in your jurisdiction or Wayex's operating jurisdictions may affect or eliminate the Yield Feature.
Any yield credited is subject to reversal or clawback in accordance with these Yield Terms.
The sampling-based calculation methodology means your yield may not reflect your balance at all times during a month.
7. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Wayex, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers (collectively, the "Wayex Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) ("Losses") arising out of or relating to:
your participation in or use of the Yield Feature;
your breach of these Yield Terms or the Main Terms;
your violation of any applicable law, regulation, or the rights of any third party in connection with the Yield Feature;
any tax liability, penalty, or obligation arising from yield received by you;
any claim that Wayex was required to maintain, continue, or provide the Yield Feature at any particular rate or for any particular period;
any reliance you placed on projections, statements, or communications regarding the Yield Feature;
any regulatory action taken against you in connection with your participation in the Yield Feature.
You agree to cooperate fully with the Wayex Parties in the defence of any such claim. Wayex reserves the right to assume exclusive control and direction of any matter otherwise subject to indemnification by you, at your expense.
8. Disclaimer of Warranties and Limitation of Liability
8.1 Disclaimer
THE YIELD FEATURE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WAYEX EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE YIELD FEATURE WILL BE UNINTERRUPTED, ERROR-FREE, OR AVAILABLE AT ANY SPECIFIC TIME.
8.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANY OF THE WAYEX PARTIES BE LIABLE TO YOU FOR:
any loss of yield, anticipated yield, or potential yield arising from any modification, suspension, or discontinuation of the Yield Feature;
any indirect, incidental, special, consequential, punitive, or exemplary damages;
any loss of profit, revenue, data, business, or goodwill;
any tax liability incurred in connection with the Yield Feature;
any damages arising from your reliance on the availability of the Yield Feature at any particular rate.
WAYEX'S TOTAL CUMULATIVE LIABILITY TO YOU IN CONNECTION WITH THE YIELD FEATURE, UNDER ANY THEORY OF LAW, SHALL NOT EXCEED THE TOTAL AMOUNT OF YIELD ACTUALLY CREDITED TO YOUR ACCOUNT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $50, WHICHEVER IS GREATER.
9. No Fiduciary Relationship
Nothing in these Yield Terms or the operation of the Yield Feature creates a fiduciary relationship, partnership, joint venture, trust, agency relationship, or any other special relationship between you and Wayex. Wayex owes you no fiduciary duties in connection with the Yield Feature.
10. Regulatory Compliance and Reporting
Wayex may be required to modify, suspend, or terminate the Yield Feature in order to comply with applicable laws, regulations, regulatory guidance, or directions from competent authorities. You acknowledge and agree that Wayex shall have no liability to you in connection with any such action taken for compliance purposes.
You acknowledge and agree that Wayex may be required to report information about yield credited to your account to relevant tax or regulatory authorities in applicable jurisdictions. You consent to such reporting and agree to provide any additional information Wayex reasonably requires to fulfil its reporting obligations.
11. Opting Out
You may opt out of the Yield Feature at any time through the Wayex app or platform settings. Upon opting out:
you will cease to be eligible for yield from the date of your opt-out;
any yield accrued up to the date of opt-out will be assessed and credited (or not credited) at Wayex's discretion, subject to the terms of Section 4;
opting out will not affect any rights or obligations that arose prior to your opt-out.
Wayex reserves the right to remove you from the Yield Feature at any time at its sole discretion, with or without notice.
12. Amendments
Wayex reserves the right to amend these Yield Terms at any time. Amendments will be communicated via the platform, app notification, or email. Continued participation in the Yield Feature following the notification of any amendment constitutes your acceptance of the amended Yield Terms. If you do not accept an amendment, you must opt out of the Yield Feature before the amendment takes effect.
13. Governing Law and Dispute Resolution
These Yield Terms are governed by the laws of the Republic of Panama. Any disputes arising out of or in connection with the Yield Feature shall be resolved exclusively through binding arbitration in Panama City, conducted in English, in accordance with the dispute resolution provisions set out in the Main Terms.
14. Severability and Entire Agreement
If any provision of these Yield Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect. These Yield Terms, together with the Main Terms and all referenced policies, constitute the entire agreement between you and Wayex in relation to the Yield Feature.
